Johnnie-O Inc. d/b/a Johnnie-O has a longstanding commitment to the ethical and responsible sourcing of products and supplies. We expect our manufacturing partners and suppliers to share this same commitment. Accordingly, we established policies in 2018 to prevent abusive, exploitive, or illegal conditions in the workplace and to prevent human trafficking and slavery. Our program includes a Supplier Code of Conduct (“Supplier Code”), and our manufacturers, suppliers, vendors, and factories (collectively, “Suppliers”) are required to participate as a condition of doing business with our company.
The California Transparency in Supply Chains Act requires retailers and manufacturers to provide consumers with information regarding their efforts to eradicate slavery and human trafficking from their supply chains. Accordingly, this disclosure highlights our efforts to prevent forced labor within our organization and our supply chains through verification, audit, certification, internal accountability, and training. This statement relates to the actions and activities undertaken by Johnnie-O to eradicate slavery and human trafficking in our supply chain.
Verification:
Johnnie-O is committed to fair labor practices within our supply chain. To that end, our Suppliers are required to agree to and comply with our Supplier Code as part of our contracting process. The Supplier Code includes prohibitions against child labor and forced or prison labor and mandates compliance with the Uyghur Forced Labor Prevention Act. We also contractually require that Suppliers (a) provide their workers with appropriate compensation and safe, healthy, and sanitary work environments, (b) allow workers freedom of association and collective bargaining, (c) comply with all applicable environmental, labor, and employment laws, (d) refrain from corrupt business practices, and (e) protect against human trafficking and slavery. We further contractually require Suppliers to certify that materials incorporated into our products comply with applicable laws, including those laws that relate to human trafficking and slavery in the country or countries in which such Suppliers do business. Johnnie-O expects all of its Suppliers and their respective suppliers to comply with the standards set forth in the Supplier Code. Failure to do so could be grounds for termination of the contractual relationship.
We annually review our product supply chain to evaluate and address risks of human trafficking and slavery through questionnaires completed by our Suppliers and select audits performed by independent third-party organizations. Suppliers should be prepared to provide Johnnie-O and its third-party auditors with reasonable access to their facilities.
Compliance:
Suppliers must establish and maintain a process to comply with our Supplier Code, as well as all applicable laws and regulations. This includes communicating the requirements of the Supplier Code and applicable laws and regulations to the Supplier’s employees, affiliates, contractors, and agents.
Each Supplier must maintain documentation as needed to demonstrate their compliance with the Supplier Code. Upon our request, Suppliers should be prepared to provide Johnnie-O or its third-party auditors with access to such documentation.
Certification:
Johnnie-O requires Suppliers to certify that materials incorporated into our products comply with applicable laws, including laws relating to slavery and human trafficking in the country or countries in which the Suppliers do business. Suppliers also reaffirm their commitment to follow the Supplier Code when they accept our purchase orders, which include terms requiring compliance with the Supplier Code. In addition, we request an annual affirmation from Suppliers confirming their continued compliance with these requirements.
Accountability:
Johnnie-O works to foster a culture of honesty, accountability, and transparency. Johnnie-O pledges that it will not engage with Suppliers that do not respect our company’s standards as reflected in the Supplier Code. If an employee violates our Code of Ethics or if a Supplier violates our Supplier Code, Johnnie-O will investigate the alleged violation. The employee and the Supplier shall assist with any such investigation and provide access to any information reasonably requested. Based on the findings of our investigation, we will work with the employee and the Supplier to remedy or mitigate the violation or, in certain circumstances, terminate the employee or the Supplier. If we elect to attempt to remedy the violation and that effort proves unsuccessful, we will re-evaluate our relationship with that employee or Supplier and take appropriate corrective action. For Suppliers, corrective action may include cancellation of an order, prohibition on the future use of certain facilities, reporting of the violation to the appropriate authorities, or termination of the business relationship. If a Supplier refuses to provide access to our independent third-party auditors, such Supplier will be subject to enforcement action up to and including termination of the business relationship.
Training:
Johnnie-O believes educating our employees on our compliance and social responsibility efforts helps us consider these issues across purchasing decisions and helps us build a responsible supply chain. In this regard, Johnnie-O has developed a training program for its employees to understand and raise awareness of forms of modern slavery and human trafficking risks so that our employees can take action to help prevent these risks in our supply chain, and reinforce to our Suppliers the importance of eliminating involuntary labor and human trafficking from the Supplier’s supply chain and providing workers with a safe and healthy work environment.
