Welcome! You have arrived at a website, mobile app or other service provided by Johnnie-O, Inc. (Delaware Corporation) (“Company,” “we,” “our,” or “us”). This “Privacy Policy” describes how we collect, use, share, and process personal data in connection with our websites (including both mobile and online versions), including any interactive features, mobile applications, and/or other services that we make available through a site that posts a link to this Privacy Policy (collectively, the “Site”). This Privacy Policy also applies to personal data we may collect from you in our retail stores (each a “Store” or collectively, “Stores”), via phone calls with our Customer Service representatives, or Company sponsored events, including through official surveys and Promotion entry forms, or in any other instance when you contact us, or anywhere else we link to this Privacy Policy (collectively, with the Site and Stores referred to herein as the “Platform”). When we use the term “personal data” in this Privacy Policy, we mean information that identifies, relates to, describes, is reasonably capable of being associate with, or could reasonably be link, directly or indirectly, to you. It does not include aggregated, deidentified, or anonymized information that is maintained in a form that is not reasonably capable of being associated with or linked to you or a particular household. 

We may provide you separate notice of additional privacy policies or practices  at the point of collection. 

In addition, please review the Site's Terms of Use, which governs your use of the Site. 1. INFORMATION WE COLLECT

(a) Information You Provide to Us

We may ask you to provide us: (i) your first and last name, email address, home or other mailing address, telephone number, mobile number, credit and debit card numbers and date of birth or other personal data; and/or (ii) demographic information, such as information like your gender or product preferences (“Demographic Information”). We may collect this information from you at various times and places, depending on your interaction with the Platform, such as when you:

  • Make a purchase through the Site or in a Store;
  • Submit account registration forms or otherwise save your information with us on our Site or in a Store;
  • Sign up or request to be placed on our mailing, SMS text and/or email marketing lists;
  • Sign up for a loyalty program;
  • Participate in a survey or Promotion;
  • Contact us regarding a question or concern such as when you make inquiries concerning our merchandise or services; or
  • Participate in any location services we offer (e.g., to provide you with information about new Store openings near you and inform you of new products and promotions that may be of interest to you based on your location).
  • Submit an application for employment.

Your decision to provide us with information is voluntary, but if you choose not to provide requested information we may not be able to provide all of the Platform’s features, including purchasing products or services from us.

(b) Information We Collect When You Use the Site

In addition to information that you choose to submit to us directly, we automatically receive and store certain information when you visit or interact with the Site ("Usage Information"). Usage Information is stored on and accessed from your personal computer, laptop, tablet, mobile phone or other device (a "Device") whenever you visit or interact with our Site. Usage Information includes:

  • your IP address, unique device ID or other unique identifier ("Device Identifier");
  • browser, operating system, hardware, and mobile network information;
  • the areas within our Site that you visit and your activities there, including remembering you and your preferences;
  • your Device location;
  • your general location; and
  • other Device data, including the time of day you visit our Site.

We use various methods and online tracking technologies to store or collect Usage Information (“Tracking Technologies”). Tracking Technologies may set, change, alter or modify settings or configurations on your Device. 

Our Tracking Technologies include cookies (a small text file sent from a website and stored on your device), web beacons, or pixels and similar technologies, and we may utilize third-party services to collect this information. Tracking Technologies collect Usage Data and may also collect information about the site from which you came and the site to which you are going when you leave the Site, the pages you visit, how frequently you access the Site, whether you open emails or click the links contained in emails from us, whether you access the Site from multiple devices, the products you view and click on, and similar actions you take on the Site. 

We use the information collected through Tracking Technologies to allow you to use and access the Site; for the prevention of fraudulent activity and improved security functionality; to allow you to make use of shopping cart functionality; to assess the performance of the Site, as part of our analytic practices and to improve the content, products or services offered through the Site; to identify you when you visit or sign-in to our Site; to keep track of your specified preferences and to track your online activities over time and across third-party sites; and to deliver content, including ads, relevant to your interests on our Site and third-party sites based on how you interact with our advertisements and/or content.

(c) Location-Based Information

Our Site collects and uses information on your general location to deliver you relevant content and advertising based on your location as part of the location-based services we offer. Depending on your device settings, if you allow location-based services, we may use your precise geolocation information to display our nearest Store location to you. You have the ability to turn location-based services on and off by adjusting the settings of your Internet browser or mobile device or by following the standard uninstall process and if applicable, removing all of our applications from your mobile device.

(d) Information We Collect from Third Parties

We may also receive personal data about you from your friends and other third parties that use the Site, and combine or link that information with information we have about you (for example, fulfillment of a wish list). Additionally, we supplement information we collect directly from you on our Site with outside records from third parties for purposes of enhancing our ability to market to you, serve you, to tailor our content to you and to offer you opportunities that may be of interest to you. To the extent we combine information we receive from third parties with your personal data, the combined information, unless disclosed otherwise, will be treated as personal data under this Privacy Policy.

(e) Information We Collect When You Interact with Third-Party Sites

The Site may include functionality that allows certain kinds of interactions between the Site and your account on a third-party website or application (for example, the link to Facebook or X). The use of this functionality may involve the third-party site providing information, including personal data such as first and last name, email address, mailing address, geographic location, search history, browser information, and other information to us. For example, we may provide links on the Site to facilitate sending a communication from the Site, or we may use third parties to facilitate emails, Tweets or Facebook, Instagram, or Pinterest postings. Your use of such third-party sites is subject to the terms and privacy policies of those third-party sites.

2. HOW WE USE THE INFORMATION WE COLLECT

We use your personal data, including Demographic Information and Usage Information, for purposes of:

  • Processing, tracking and completing purchase, return and similar transactions with us;
  • Sending you marketing information about us and our products and other third parties we work with, including through direct mail offerings;
  • Sending you email communications such as electronic newsletters about our products, services, events, loyalty programs and Promotions or otherwise communicating with you;
  • Enabling you to participate in the Site's features such as surveys and Promotions;
  • Improving the effectiveness of our Site, marketing endeavors and service offerings;
  • Processing Site account registration, including, without limitation, loyalty program applications;
  • Providing customer service, including responding to your inquiries regarding our merchandise or services;
  • Notifying you of product recalls or providing other information concerning products you have purchased;
  • Identifying your product and service preferences, providing personalized content and ads and informing you of new or additional products, services and Promotions that may be of interest to you;
  • Helping us address problems with and improve our Site and our merchandise and services;
  • Protecting the security and integrity of the Site;
  • Creating aggregated data and statistics and for internal business purposes;
  • Meeting applicable legal and regulatory requirements; and
  • For purposes disclosed at the time you provide your information or as otherwise set forth in this Privacy Policy.

Where you have provided us with personal data as part of an online application for employment or internship, we may use that information in order to allow us to make an informed decision about whether to proceed with your application and for business-related purposes, including, without limitation, responding to information requests, fulfilling regulatory reporting requirements and defending against employment related complaints. We may, as part of this recruitment process, collect information about your education, employment history and similar matters.

3. SHARING OF INFORMATION WITH THIRD PARTIES

We may share your information as follows:

(a) When You Request We Share With Third Parties

You may be presented with an option to receive certain information and/or marketing offers directly from third parties or to have us send certain information to third parties or give them access to it. If you choose to do so, your information may be disclosed to such third parties and all information you disclose will be subject to the third-party privacy policies and practices of such third parties. In addition, third parties may store, collect or otherwise have access to your information when you interact with their content on our Site. This may include using third-party tools such as Facebook, X, Instagram, Pinterest or other third-party posting or content sharing tools and by so interacting you consent to such third-party practices. We are not responsible for the privacy policies and practices of such third parties and, therefore, you should review such third-party privacy policies and practices of such third parties prior to requesting information from or otherwise interacting with them.

(b) Third Parties Providing Services to Us

We may use service providers to perform certain services on our behalf, such as: (i) to assist us in Platform operations; (ii) to manage a database of customer information; (iii) hosting the Site; (iv) designing and/or operating the Platform’s features; (v) tracking the Site's activities and analytics; (vi) enabling us to send you special offers or perform other administrative services; and (vii) other services designed to assist us in maximizing our business potential. We may provide these service providers with access to personal data to carry out the services they are performing for us. 

(c) To Protect the Rights of Company and Others

To the fullest extent permitted by applicable law, we may also disclose your information if we believe in good faith that doing so is necessary or appropriate to: (i) protect or defend the rights, safety or property of our Company or third parties (including through the enforcement of this Privacy Policy, our Terms & Conditions, and other applicable agreements and policies); or (ii) comply with legal and regulatory obligations (e.g., pursuant to law enforcement inquiries, subpoenas or court orders). To the fullest extent permitted by applicable law, we have complete discretion in electing to make or not make such disclosures, and to contest or not contest requests for such disclosures, all without notice to you.

(d) Business Transfers

We also reserve the right to disclose and transfer all such information: (i) to a subsequent owner, co-owner or operator of the Platform or Company; or (ii) in connection with a merger, consolidation, restructuring, the sale of substantially all of our interests and/or assets or other corporate change, including during the course of any due diligence process.

(e) Sweepstakes, Contests and Promotions

We may offer sweepstakes, contests, and other promotions (any, a “Promotion”) through the Site, in the Stores or through one of our social media pages that may require registration. By participating in a Promotion, you are agreeing to official rules that govern that Promotion, which may contain specific requirements of you, including, allowing the sponsor of the Promotion to use your name, voice and likeness in advertising associated with the Promotion. If you choose to enter a Promotion, personal data may be disclosed to third parties or the public in connection with the administration of such Promotion, including in connection with winner selection, prize fulfillment, and as required by law or permitted by the Promotion's official rules, such as on a winner's list.

(f) Marketing Providers

We may share your personal data related to your purchase of goods and activities on the Platform with third parties that help us market our products and services to you (“Marketing Providers”). 

(g) Direct Mail Partners

We may collect your email address via cookies and pixels on the Site through the use of trusted third-party partners (“Direct Mail Partners”). These partners may combine your email information with other information they have access to such as mailing address so that we may serve relevant marketing offers to you via direct mail. Direct Mail Partners may also use personal data that we share with them for their own commercial and advertising purposes. 

(h) Third-Party Marketing Partners

We may share your personal data with third-party marketing partners and advertising networks (“Third-Party Marketing Partners”). In addition to using personal data to provide services to us and our customers, Third-Party Marketing Partners may also use personal data that we share with them for their own commercial and advertising purposes. 

(i) Analytics Providers

We may share your personal data related to your activities on the Site with analytics providers (“Analytics Providers”) in order to track and analyze usage of our website. Analytics Providers generally limit their use of personal information to provide services to us. Certain Analytics Providers may use the personal information that we share with them to create user profiles for cross-context behavioral advertising or to otherwise use your personal information for the benefit of third parties. 

(j) Sharing for Recruitment Purposes

In conjunction with laws and regulations enforced by the Equal Employment Opportunity Commission (“EEOC”), the Office of Federal Contract Compliance Programs (“OFCCP”) and similar state and local regulatory agencies, we may, in connection with your employment at Johnnie-O or its Affiliates, ask you to provide us with self-identifying information (such as veteran status, gender and ethnicity). Providing such self-identifying information is voluntary, but if you do provide us with such information, we may submit that information, to the EEOC, the OFCCP and similar state and local regulatory agencies or otherwise disclose it for business-related purposes, including, without limitation, responding to information requests, fulfilling regulatory reporting requirements and defending against employment related complaints.

4. DO NOT TRACK 

Some browsers have “do not track” features that allow you to tell a website not to track you. These features are not all uniform. Where available, you may choose to enable an online tool that automatically communicates your universal opt-out preferences, such as the Global Privacy Control. You may need to use a specific browser or an extension that supports these tools and universal signals. When detected, our Site will process such a signal as a request to opt out of tracking personal data and as a request to opt out of “sale” or “sharing” of your data as explained in the “Your Privacy Choices” section below. You can also opt-out of such tracking directly on our Site by following the steps.

5. TRANSFER OF INFORMATION TO AND FROM THE UNITED STATES

Our Platform and business is operated in the United States. Our Platform is not targeted at individuals outside the United States. If you are located outside of the United States, please be aware that by visiting our Platform you will be sending your personal data to the United States. By doing business with or interacting with the Site, you acknowledge and agree to the transfer of your personal data to the United States and understand that such information will be stored and processed in accordance with this Privacy Policy and the laws of the United States. 

6. CHILDREN'S PRIVACY

Our Site is not intended to be used by children and we do not knowingly collect personal data from individuals under the age of 18. If you are an individual under 18 years of age, you are not permitted to use the Site and should not send any information about yourself to us through the Site. If we learn that we have inadvertently collected personal data from anyone under age 18, we will use commercially reasonable efforts to delete that information from our database. 

7. SECURITY

We incorporate commercially reasonable safeguards to help protect and secure your personal data, however, no data transmission over the Internet, mobile networks, wireless transmission or electronic storage of information can be guaranteed 100% secure. As a result, we cannot guarantee or warrant the security of any information you transmit to or from our Platform, and you provide us with your information at your own risk.

8. UPDATING AND MODIFYING YOUR PERSONAL DATA AND COMMUNICATIONS PREFERENCES

You are responsible for maintaining the accuracy of the information you submit to us, such as your contact information provided as part of registration. If you wish to update, delete or modify your personal data, please make changes to “Account Details” online by clicking “Sign In” or “Hi, NAME” if you’re already signed in. Be sure to “Save” once you've completed your changes or they may not take effect. You may also call or email Customer Service. You may need to provide your exact name and postal or email address so that we may identify you accurately. You may modify communication preferences online in your account settings or by contacting a Customer Service Representative (Contact Us). You may also “unsubscribe” from our emails by using the link provided at the bottom of each email. If you ask us to remove you from marketing email lists, we will maintain you on a “do not contact” list to ensure that we continue to honor your request. If you purchase products from the Site, we will continue to confirm your order and shipment status via email, postal address or telephone. If you change your mind about choices you've previously made, make changes to “My Account” online or contact Customer Service (Contact Us). We will make good faith efforts to make requested changes in our then active databases as soon as reasonably practicable (but we may retain prior information as business records in accordance with applicable law).

10. CHANGES TO THIS PRIVACY POLICY

From time to time, we may change this Privacy Policy. Any changes will be effective immediately upon the posting of the revised Privacy Policy and the updated date will be provided at the top of this Privacy Policy. We will notify you of any material changes to this Privacy Policy as required by laws. Please check the Platform periodically for updates. 

11. SUPPLEMENTAL US STATE-SPECIFIC PRIVACY NOTICE

For residents of California, Colorado, Connecticut, Delaware, Indiana, Iowa, Kentucky, Maryland, Minnesota, Montana, Nebraska, New Hampshire, New Jersey, Oregon, Rhode Island, Texas, Tennessee, Utah, Nevada, and Virginia, this Supplemental US State-Specific Privacy Notice (“US Disclosures”) supplements the information contained in the Privacy Policy by providing additional information about our personal data processing practices relating to individual residents of these States. For the purposes of these US Disclosures, personal data does not include publicly available information or deidentified, aggregated or anonymized information that is maintained in a form that is not capable of being associated with or linked to you.

Sources of Personal Data

As described in “Information We Collect” section of this Privacy Policy, we collect personal data directly from you when you provide it to us, automatically when you use the Site, through cookies, and other Tracking Technologies, from third parties, and by combining personal data we may otherwise obtain. 

Purposes for Processing 

We process personal data for different purposes, depending on how you interact with the Platform. We collect, sell, share or disclose personal data about you for the business and commercial purposes described in the “How We Use the Information We Collect” and “Sharing of Information With Third Parties” sections of this Privacy Policy.

Retention 

The period for which we retain your personal data varies, depending on the type of personal data and the purpose for which it was collected. The duration is limited to time necessary to fulfill the purposes for which the data was collected, in light of any restrictions or deletion you might request, as well as our need to address our legal obligations or rights.

Financial Incentives 

Please note that in some instances, we may offer coupons or discount codes or other financial incentives (as permitted by law) to users who subscribe to our email list or SMS text marketing program. Each financial incentive related to the collection and use of personal information is based upon our reasonable, good-faith determination of the estimated value of such information to us. When applicable, we will provide information about the specific terms of the financial incentive and your rights on the webpage or form where the financial incentive is made available.

Your Privacy Rights

You may have the right to access and obtain a copy of the specific pieces of personal information we have collected about you in a structured, machine-readable format that may be transmitted to another entity without hindrance, to the extent technically feasible.
  • Right to Correct. You may have the right to request that we correct your inaccurate personal data maintained by us.
  • Right to Request Deletion. You have the right to request the deletion of your personal data that is collected or maintained by us, subject to certain exceptions under law.
  • Right to Opt-Out of Sales or Sharing (Right to Opt-Out of Targeted Advertising or Profiling). You have the right to direct us not to sell or share personal data we have collected about you to third parties, including for ad targeting or cross-contextual advertising.   • California’s “Shine the Light” Law. We may from time to time elect to share certain information about you collected by us on the Site with third parties for those third parties’ direct marketing purposes. California Civil Code Section 1798.83 permits California residents who have supplied personal data, as defined in the statute, to us, under certain circumstances, to request and obtain certain information regarding our disclosure, if any, of personal data to third parties for their direct marketing purposes. If this applies, you may obtain the categories of personal data shared and the names and addresses of all third parties that received personal data for their direct marketing purposes during the immediately prior calendar year.

  • Right to Appeal. In certain circumstances, we may decline a request to exercise the rights described above. If your request is denied, we will provide an explanation for the denial and instructions on how you may appeal a denied request.   • Right to Know Specific Third Parties. If you are a resident of Oregon or Minnesota, you may have a right to request information about specific third parties with whom we share personal information for targeted or cross-contextual advertising. To make a request, please describe the rights you wish to exercise and provide us your first and last name, where you can be contacted regarding the request, and, if applicable, the email associated with your account. The above rights are subject to our being able to reasonably verify your identity and authority to make these requests. After you make a request to exercise these rights, you may receive an email requesting that you verify your identify. In order for us to verify your identify, you may be required to provide your name, loyalty or customer number, transaction history details, and/or any and all email addresses that you have used to interact with us. We will respond to your request only after your identity has been verified. Note that these rights are also subject to various exclusions and exceptions under applicable laws.

If you wish to submit a verifiable consumer request on behalf of another individual, then we will also need sufficient information to verify that the individual is the person about whom we collected personal data and that you are authorized to submit the request on their behalf. Please see the “Authorized Agents” section below for more information.

To Exercise Your Right under California’s “Shine The Light” Law

To make such a request, please provide sufficient information for us to determine if this applies to you, attest to the fact that you are a California resident and provide a current California address for our response. To make such a request, please use our Privacy Rights Request form, or submit a written request to the following address (limit one request per year): Johnnie-O, P.O. Authorized Agents 

You are permitted to use an authorized agent to submit privacy rights requests on your behalf. We may verify the authorized agent’s authority to act on your behalf as follows: 

  • For requests to opt-out of personal data “sales” or “sharing,” we may ask you to provide a signed permission demonstrating your authorized agent has been authorized by you to act on your behalf.
  • For all other requests, we may ask you to provide sufficient evidence to show that you have provided the authorized agent signed permission to act on your behalf, verified your own identity directly with us pursuant to the instructions set forth in this Privacy Policy, and directly confirmed with us that you provided the authorized agent permission to submit the request on your behalf.

Nondiscrimination
